Jovra Terms of Service

Peeler AI Systems LLC
Effective date: September 27, 2026

1. Agreement and customer authority

These Terms govern access to Jovra supplied by Peeler AI Systems LLC ("Peeler," "we," "us," or "our"). "Customer" means the person or organization entering the agreement. "Authorized User" means a person permitted by Customer and by Jovra's access controls to use the service.

A person accepting these Terms for an organization must have authority to bind that organization. Authorized Users must comply with these Terms within their use of the service. A person without the required authority must not accept commitments or purchase a subscription on an organization's behalf.

A signed agreement, order, or data processing addendum takes precedence for the subject it specifically governs where it conflicts with these Terms. The Privacy Policy explains personal-information handling; it is not blanket permission for unrelated processing. These Terms do not replace agreements for other Peeler products or custom services.

2. What Jovra provides

Jovra helps authorized users work with construction project records, submit supported information, ask questions, and inspect source-backed answers. Features depend on the available service, plan, permissions, source coverage, and supported integrations.

Jovra is a decision-support tool. It does not replace the project contract, the official document-control process, an engineer of record, a qualified safety professional, legal counsel, or another responsible professional.

Jovra can make mistakes. Verify critical details against source documents before pricing, signing, or submitting. Verify other consequential uses—including purchasing, ordering, installing, building, and assessing safety or compliance—with the appropriate source records and qualified people.

Documents may be incomplete, outdated, conflicting, inaccessible, or incorrectly extracted. Citations help a person investigate an answer; they do not guarantee that the interpretation is complete or correct. A missing finding is not proof that no requirement, risk, change, or issue exists.

An answer, draft, or summary is not a professional certification, approved submittal, contract modification, notice to another party, or authorization to proceed. Customer retains responsibility for its decisions and for required review, approvals, notices, and recordkeeping. This does not excuse Peeler from obligations that cannot lawfully be excluded.

3. Access, accounts, and permissions

Subject to the applicable agreement and valid access, Peeler grants Customer a limited right to use Jovra for its authorized business purposes. Customer must keep account information accurate, protect credentials, and promptly notify us of suspected unauthorized use.

Company membership, billing permissions, and project-data permissions are distinct. Users must not rely on a job title or billing role as authority to access project information. Customer is responsible for its lawful access instructions and for reviewing access when personnel or responsibilities change.

Do not share personal sign-in credentials among users. Reviewer or demonstration credentials may be provided through a specifically authorized, appropriately scoped arrangement; that does not authorize sharing normal customer accounts.

4. Customer content and intellectual property

Customer and its licensors retain their rights in documents and other material provided to the service ("Customer Content"). Customer must have the rights and permissions necessary to supply it and to authorize the processing and disclosures involved in the requested features.

Customer grants Peeler and the service providers used to deliver Jovra a limited right to host, copy, process, transmit, and display Customer Content as necessary to provide the service, respond to authorized support, maintain security, comply with law, and fulfill the applicable agreement. This is not an unrestricted license to sell Customer Content, advertise with it, or train general-purpose models on it.

As between Customer and Peeler, Customer may use the answers and other outputs generated for its authorized workspace, subject to underlying source rights and applicable law. Outputs may not be unique or eligible for exclusive intellectual-property protection. Peeler does not grant rights it does not hold in third-party documents.

Peeler retains rights in Jovra's software, branding, methods, and service technology. Customer does not receive ownership of the platform. Do not remove proprietary notices or use Peeler's branding in a way that implies an unapproved endorsement.

5. Acceptable and prohibited use

Use Jovra only within your authorization and applicable law. Do not access or attempt to access another customer's information, defeat security or usage restrictions, misrepresent your identity or authority, introduce malicious material, or disrupt the service.

Do not use the service to facilitate unlawful discrimination, deception, harassment, or other prohibited conduct. Do not represent an unreviewed AI output as an approved professional conclusion or use it as the sole basis for a safety-critical or similarly consequential decision.

Do not put payment card data, protected health information, government identification numbers, passwords, API keys, or authentication codes into project documents or ordinary chat inputs. Supported sign-in and payment interfaces are separate. Do not submit export-controlled or other specially regulated material unless a written agreement and the service's verified safeguards permit it.

No permission is given to bypass a third-party service's policies, access restrictions, or required consents through Jovra.

6. ChatGPT and other third-party services

Supported integrations are optional and have their own terms, availability, account requirements, and data settings. A Jovra subscription does not include a ChatGPT subscription or guarantee a particular third-party plan's access or limits.

The identity used to connect to Jovra determines Jovra permissions. A separate ChatGPT account does not create new project authority. Customer must approve use of its work information in the chosen client, including a personal ChatGPT account where permitted by Customer's policy.

Information released through an authorized integration may remain in that third-party service or in copies users retain. Disconnecting an integration does not automatically delete those copies, cancel a subscription, or erase the Jovra workspace. Users should manage the relevant service's data and sharing controls separately.

Peeler is responsible for its service and commitments, but does not control independent changes to third-party products. Availability in a third-party directory is not a certification of Jovra's outputs or an endorsement beyond what that third party expressly states.

7. Plans, usage, and fees

The order or checkout accepted by Customer identifies the plan, billing interval, price, taxes, and any recurring-payment authorization. We will not treat installation of a plugin or acceptance of a demonstration invitation as authorization for an undisclosed paid subscription.

Project capacity and internal-user access do not mean unlimited processing. Applicable document, request, workload, and technical limits remain in effect. Work can be rejected or paused when a limit is reached. No additional charge or paid capacity purchase is authorized merely because a request is attempted; additional paid services require the applicable agreement or authorization.

Customer is responsible for agreed fees and applicable taxes. Payment processing may be provided by Stripe. Peeler may suspend paid processing for nonpayment or an invalid entitlement while preserving other rights and duties under the agreement.

Renewals and cancellation

If Customer expressly purchases an automatically renewing subscription, it renews for the disclosed billing interval at the applicable disclosed price unless canceled before renewal. Material price changes apply prospectively with legally required notice; they do not rewrite a period already paid for.

Use the available billing cancellation function or email kamran@peeleraisystems.com from an authorized billing contact. A request received before renewal must be honored for that renewal once the necessary authority is verified; a delay in our response must not defeat a timely request. Do not assume that uninstalling the plugin or ceasing use cancels billing.

Cancellation ordinarily takes effect at the end of the paid period, unless the applicable order, law, or an agreed immediate termination provides otherwise. Ask us to confirm the effective date if it is unclear.

Refunds and billing errors

Except as required by law or agreed in writing, fees for an already-started billing period are not prorated solely because Customer stops using the service. This does not limit correction of an incorrect or duplicate charge or a remedy owed for our failure to provide an agreed service.

If Peeler permanently discontinues a prepaid service before the paid period ends, without Customer breach, we will refund the unused prepaid portion unless Customer agrees to another resolution. A separate signed agreement can specify a different permitted arrangement.

8. Demonstrations and reviewer access

Free, evaluation, founder, or reviewer access can have a defined scope, expiry, usage cap, and revocation conditions. It is not a paid subscription and does not establish payment or production entitlement.

Such access may be limited to synthetic data and specific accounts or projects. It does not automatically convert to a paid subscription or authorize a charge. Peeler may end or restrict it in accordance with its stated terms and applicable law. Do not use synthetic demonstration records as real project evidence.

9. Confidentiality, privacy, and security

Each party must protect the other's nonpublic confidential information using reasonable care, use it only for the agreement's purposes, and disclose it only to people and providers who need it for those purposes and are subject to appropriate duties.

These restrictions do not cover information demonstrably public without breach, already lawfully known, independently developed, or lawfully received without a confidentiality obligation. Legally compelled disclosure is permitted, with notice where lawful and practicable and disclosure limited to what is required.

Customer's authorized sharing within a project or through a selected integration is subject to the scope of that authorization. Peeler will not use Customer Content or identify Customer in public marketing without the appropriate permission.

Personal information is handled as described in the Privacy Policy and applicable data processing terms. Contact us before providing material that requires a specialized processing agreement. Neither party may use this section to avoid a non-excludable privacy or security duty.

10. Records, export, and offboarding

Customer should maintain the authoritative records needed for its business. Jovra is not a substitute for a complete project archive or Customer's independent backup and retention obligations.

Available export and offboarding functions remain subject to identity, project access, data integrity, and applicable hold requirements. Jovra's company project offboarding process is export-first and includes a 30-day grace period and required confirmations. It is not automatic whole-account erasure and does not promise that every copy will be deleted within 30 days of cancellation.

Billing, identity, security, and other records may have separate retention duties. A company project deletion does not automatically delete records in ChatGPT, a user's downloaded copies, or information lawfully retained by another party. Applicable individual privacy rights remain separate from the organization's project-management permissions.

11. Suspension, termination, and service changes

We may restrict access where reasonably necessary for security, unauthorized use, a material agreement breach, legal requirements, or invalid paid access. Where lawful and reasonably practicable, we will explain the reason and allow an opportunity to resolve a remediable issue. Urgent protection may require immediate action.

Customer may end use and cancel renewal as described above. Accrued payment obligations and provisions that reasonably need to survive—including confidentiality, retained-content rights, liability allocation, and dispute provisions—continue as applicable.

Features may change. We will not use a change to take away a non-excludable right or an expressly agreed obligation for a paid period. No uptime percentage, uninterrupted availability, or response-time guarantee applies unless specifically agreed in writing.

12. Warranties and limitations of the service

Peeler will perform the obligations expressly stated in the applicable agreement and maintain reasonable service safeguards. Except for those commitments and rights that law does not permit us to exclude, Jovra and AI-generated outputs are provided on an "as available" basis without a guarantee of accuracy, completeness, fitness for a specific project decision, or uninterrupted service.

To the extent permitted by law, implied warranties are excluded. Nothing here makes Customer responsible for Peeler's own unlawful acts or overrides an express warranty in a signed agreement.

13. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, including indirect lost profits or business opportunities. The classification of a loss depends on applicable law, not merely its label.

Subject to the exceptions below, Peeler's total aggregate liability arising from the service and these Terms will not exceed the greater of US $100 or the fees Customer paid to Peeler for the affected Jovra service during the 12 months preceding the event giving rise to the claim. A signed agreement may establish a different limit.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or a liability or remedy that applicable law prohibits limiting. Customer's obligation to pay properly owed fees is not extinguished by the foregoing limit. No individual owner or employee is personally made a party or guarantor merely by acting for Peeler.

14. Governing law and resolving disputes

Subject to mandatory rights and any signed agreement, Oklahoma law governs these Terms, excluding conflict-of-laws rules. Before litigation, contact the other party so the parties can attempt a good-faith resolution; this does not delay urgent relief or a legal deadline.

Unless a signed agreement or mandatory law provides otherwise, disputes may be brought in state or federal courts in Oklahoma that have proper jurisdiction and venue. These Terms do not impose mandatory arbitration or a class-action waiver.

15. Updates, notices, and general provisions

We will identify the effective version of these Terms and notify Customer of material changes. Changes do not retroactively eliminate accrued rights or claims. Where new assent is required, we will obtain it through an appropriate acceptance process; simply posting a new page is not proof of acceptance.

Neither party's failure to enforce a provision immediately waives it. If a provision cannot be enforced, the rest continues to the extent permitted by law. Neither party may assign the agreement to evade its obligations; an assignment connected with a genuine reorganization or business transfer must preserve applicable customer and data-protection rights.

These Terms and the applicable accepted order, signed agreement, and data processing terms form the service agreement for their subject matter. They do not amend a separate signed agreement by implication.
